•The construction contract for the Bodrum, Kıyıkışlacık project was signed.
•On March 1, 2024, the Amasya 600-Bed State Hospital construction project was officially handed over.
•Amendments to the Articles of Association approved during the Extraordinary General Assembly Meeting held on February 28, 2024, were registered with the Ankara Trade Registry Office. These amendments set the Company’s registered capital ceiling at TRY 30,000,000,000, divided into 30,000,000,000 shares with a nominal value of TRY 1 each, and were announced in the Turkish Trade Registry Gazette dated March 5, 2024, No. 11036.
•The announcement for the pre-qualification of the market test for Eskişehir City Hospital was published on February 6, 2024, and the collection process for the pre-qualification application was completed on March 8, 2024. The market test process is currently ongoing in compliance with the relevant stages stated in the PPP Contract, and Akfen Hospital has notified the Ministry of Health that it will exercise its right of preference.
•The rating process conducted by JCR has been completed. Akfen Construction’s credit rating was affirmed at AA+(tr)/Stable, while the credit ratings of Eskişehir City Hospital, Tekirdağ City Hospital, and Isparta City Hospital were confirmed at AAA(tr)/Stable.
•On May 30, 2024, a share transfer agreement was signed, resulting in the following changes to Dost İnşaat’s shares:
(i) A transfer of 29.99% of its 30% share in the Akfen Construction – Dost İnşaat Ordinary Partnership;
(ii) A transfer of 44.99% of its 45% share in the Akfen Construction – Dost İnşaat Amasya State Hospital Construction Project Ordinary Partnership;
(iii) A transfer of 44.99% of its 45% share in the Akfen Construction Tourism and Trade Inc. – Dost İnşaat and Project Management Inc. Partnership. Following these transfers, Dost İnşaat retains only a 0.01% ownership in these three partnerships, with the remaining shares fully owned by Akfen Construction.
